GetGround ‘Refer a Friend’ Promotion

1. What is the Promotion about?

1.1 As part of the GetGround ‘Refer a Friend’ promotion (the “Promotion”), GetGround is offering the opportunity to refer new customers to GetGround in return for a cash reward for successful referrals. 

1.2 Please read these terms and conditions (the “Terms”), carefully including the eligibility criteria set out below. Both the Referrer and the Friend must fully meet all the relevant requirements during the Promotion Period to receive a Reward.

1.3 When we say:

(a) “you” or “your” in these Terms, we mean the Referrer who wishes to avail themselves of the Promotion; and

(b) “we”, “us” or “our” in these Terms, we mean GetGround.

1.4 This Promotion runs from 12:00AM on 1 August 2023 until 11:59PM on 31 July 2024. We call this the “Promotion Period”.

1.5 These Terms set out the rules that apply to the Promotion and you must comply with these Terms, as well as any other terms and conditions that you have with GetGround, at all times when participating in the Promotion.

2. 2. Who is a Referrer?
   
   

2.1 A referrer under this Promotion is:

(a) a GetGround customer who:

(i) has an account and company on GetGround’s web application platform (the “GetGround Platform”);

(ii) is at least the minimum age permitted by applicable law to be eligible for the Promotion; and

(iii) is not an employee or director of (i) GetGround or one of its affiliates, or (ii) one of GetGround’s partners,

(a “GG Referrer”); or

(b) a person who:

(i) has not incorporated a company on the GetGround Platform;

(ii) is at least the minimum age permitted by applicable law to be eligible for the Promotion; and

(iii) is not an employee or director of (i) GetGround or one of its affiliates, or (ii) one of GetGround’s partners,

(a “Non-GG Referrer”).

3. 3. Who is a Friend?
   
   

3.1 A friend under this Promotion (the “Friend”) is:

(a) a new GetGround customer. If the Friend currently has an active deal, for a GetGround product and/or service, on GetGround’s customer database the Friend is not a new user and is not eligible;

(b) (i) the lead shareholder of the GetGround limited company when they complete a Company Sign-Up, or (ii) the person who has agreed to the terms and conditions in respect of the GG Product and/or entered into an Order Form (as applicable);

(c) in GetGround’s reasonable opinion, is capable of being accepted as a customer of GetGround, in accordance with the requirements of GetGround’s Know your Customer (KYC) checks and all applicable laws and regulations; and

(d) has successfully passed the KYC Checks to the full satisfaction of GetGround.

4. 4. What is the process for referring a Friend?

4.1 The Referrer must use GetGround’s referral form (the “Referral Form”) to submit referrals of Friends. The name and email address of the Friend will be required on the Referral Form.

4.2 The same Referral Form can be used by the Referrer multiple times to refer different Friends.

4.3 Each Friend must be a new GetGround user, satisfy the above eligibility criteria and be successfully onboarded by GetGround.

4.4 Upon submission of the Referral Form GetGround may directly contact the Friend at our discretion with a view to achieving a Sign-Up by that Friend.

5. 5. How does the Referrer earn a Company Reward?
   
   

5.1 Subject to these Terms, the Company Reward will be payable to a Referrer if there is a Company Sign-Up by a Friend, referred by that Referrer, during the Promotion Period.

5.2 There will be no limit to the number of Friends that a Referrer can introduce to GetGround, but the Company Reward will only be payable in respect of the first Company Sign-Up by a Friend and not for any subsequent Company Sign-Ups made by that same Friend.

5.3 In respect of a GG Referrer, the Company Reward will be credited via the GetGround Platform to the business account of a GG Referrer’s GetGround company.

5.4 In respect of a Non-GG Referrer the Company Reward will be:

(a) paid by bank transfer into a bank account as nominated in writing by the Non-GG Referrer if the Non-GG Referrer successfully passes the KYC Checks to the full satisfaction of GetGround; or

(b) credited via the GetGround Platform to the business account of the relevant Friend’s GetGround company, if the Non-GG Referrer fails the KYC Checks as determined by GetGround in its sole discretion.

5.5 The Company Reward will not be payable if:

(a) paragraphs (a) - (c) (inclusive) of the definition of Company Sign-Up are not completed by the Friend within 3 months of the submission of the Referral Form in respect of that Friend;

(b) the Friend (i) terminates their terms and conditions with GetGround, and/or (ii) requests a refund of the GetGround company set-up fee, between the time the Referrer qualifies for the Company Reward and receives the Company Reward or before we were due to pay the Company Reward; or

(c) you fail the KYC Checks and GetGround determines, in its sole discretion, that the Company Reward should not be payable to you or the Friend (as applicable).

6. 6. How does the Referrer earn a Product Reward?
   
   

6.1 Subject to these Terms, the Product Reward will be payable to a Referrer if there is a Product Sign-Up by a Friend, referred by that Referrer, during the Promotion Period.

6.2 There will be no limit to the number of Friends that a Referrer can introduce to GetGround, but the Product Reward will only be payable in respect of the first property exchanged by a Friend pursuant to a GG Product and/or Order Form (as applicable) and not for any subsequent properties exchanged by that same Friend pursuant to a GG Product and/or Order Form (as applicable).

6.3 In respect of a GG Referrer, the Product Reward will be credited via the GetGround Platform to the business account of a GG Referrer’s GetGround company.

6.4 In respect of a Non-GG Referrer: 

(a) paid by bank transfer into a bank account as nominated in writing by the Non-GG Referrer if the Non-GG Referrer successfully passes the KYC Checks to the full satisfaction of GetGround; or

(b) (i) credited via the GetGround Platform to the business account of the relevant Friend’s GetGround company, or (ii) paid by bank transfer into a bank account as nominated in writing by the Friend (as applicable), if the Non-GG Referrer fails the KYC Checks as determined by GetGround in its sole discretion.

6.5 The Product Reward will not be payable if:

(a) the Product Sign-Up by the Friend is not fulfilled within 12 months of the submission of the Referral Form in respect of that Friend;

(b) the Friend terminates their Order Form (if applicable) with GetGround prior to a Product Sign-Up;

(c) we have not received all fees due and payable to us in connection with a Product Sign-Up; or

(d) you fail the KYC Checks and GetGround determines, in its sole discretion, that the Product Reward should not be payable to you or the Friend (as applicable).

7. 7. What other legal information should I know?
   
   

7.1 This Promotion is organised and offered by Terranova.Network Limited (trading as GetGround), a company registered in England and Wales with company registration number 11273793 (“GetGround”).

7.2 By agreeing to these Terms and participating in the Promotion you confirm that all of the information you have or will provide to GetGround is true and accurate, to the best of your knowledge.

7.3 When you submit a Referral Form in respect of a Friend, you confirm that (i) any such Friend is personally known to you, and (ii) you have, where reasonably practicable, obtained the consent of the Friend, to refer them to us and provide their personal details to us, before contacting us.

7.4 We are not obliged to accept a Friend that you have introduced to us and we may refuse a Friend’s access to the GetGround Platform without giving any reason.

7.5 We reserve the right to reverse and/or withhold a Reward if such Reward was earned fraudulently, if you breach any terms and conditions that you have with GetGround, if there is a breach or suspected breach by you of applicable laws or regulations, if you fail or if we become aware that you did not comply with these Terms. We will consider the reversal of any Reward to have been done with your consent and the payment to have been authorised by you.

7.6 We may suspend or end this Promotion at any time, if in our reasonable opinion, the Promotion is being abused or may negatively affect GetGround’s goodwill or reputation. We may do this on an individual or promotion-wide basis. Please contact gethelp@getground.co.uk if you believe you qualify for a Reward in relation to the Promotion that has not been awarded to you as a result of this early suspension or termination.

7.7 We can cancel this Promotion, change these Terms and/or amend or vary the Reward at any time without notice. Any cancellation or changes to the Terms or the Reward do not affect your rights if you have already participated in the Promotion.

7.8 Events beyond the control of GetGround may also occur that render the awarding of a Reward as part of this Promotion impossible. GetGround will not be liable for any loss, whether directly or indirectly suffered, as a result of an event outside of its control.

7.9 A Reward will be due to the Referrer or Friend (as applicable) at the end of the calendar month directly following the month in which: 

(a) a relevant Company Sign-Up by a Friend occurs; or

(b) a Product Sign-Up by a Friend occurs and we are in receipt of all fees due and payable to us in connection with that Product Sign-Up, and

provided all requirements set out in these Terms have been met. Payment of the Reward may take up to 5 business days from the relevant due date.

7.10 GetGround needs to handle the Referrer’s and Friend’s personal data to carry out its obligations under these Terms. GetGround will process the Referrer’s and the Friend’s personal data in compliance with ​​its Privacy Policy.

7.11 If we believe that you have engaged in any fraud or material abuse of this Promotion we may in our sole discretion take any actions we see fit in the circumstances. For example, it would be a material abuse of this Promotion to orchestrate a campaign to profiteer from this Promotion in a way that does not result in genuine and unique new Sign-Ups to GetGround, and we may reverse any Rewards if you do this.

7.14 No term of these Terms will be enforceable by virtue of the Contract (Rights of Third Parties) Act 1999 by any person that is not a party to it.

7.15 We may assign or subcontract any of our rights or obligations under these Terms.

7.16 If any provision of these Terms is prohibited by law or judged by a court to be unlawful, void or unenforceable, the provision shall, to the extent required, be severed from these Terms and rendered ineffective as far as possible without modifying the remaining provisions of these Terms and shall not in any way affect any other circumstances of or the validity or enforcement of these Terms.

7.17 The agreement between you and GetGround under these Terms is personal to you and may not be transferred by you to any third party.

7.18 These Terms are governed by English law and you agree that any dispute (contractual or non-contractual) arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

8. 8. Definitions
   
   

The following definitions shall apply to these Terms:

“Company Reward” means £100.00;

“Company Sign-Up” means:

(a) a GetGround limited company is designed;

(b) payment of the GetGround company set-up fee is paid by the Friend to us;

(c) that GetGround limited company is incorporated at UK Companies House; and

(d) in respect of a Non-GG Referrer only, that Non-GG Referrer has provided GetGround with all information GetGround requires to complete its KYC Checks within 12 months of submission of the Referral Form in respect of the relevant Friend;

“GG Product” means the product(s) and/or service(s) offered by GetGround to its customers to assist them with finding and purchasing an investment property, including GetGround’s ‘GG Search’ product;

“KYC Checks” means Know Your Customer (KYC) checks, anti-money laundering checks and any other checks as determined by GetGround in its sole discretion;

“Order Form” means the agreement between GetGround and a Friend in respect of a GG Product;

“Product Reward” means £750.00;

“Product Sign-Up” means:

(a) a Friend has agreed to the terms and conditions in respect of the GG Product and/or entered into an Order Form (as applicable); 

(b) an exchange of contracts has occurred in respect of a property subject to a GG Product and/or Order Form (as applicable); and

(c) in respect of a Non-GG Referrer only, that Non-GG Referrer has provided GetGround with all information GetGround requires to complete its KYC Checks within 12 months of submission of the Referral Form in respect of the relevant Friend;

“Referrer” means a GG Referrer or a Non-GG Referrer; 

“Reward” means a Company Reward and/or Product Reward; and

“Sign-Up” means a Company Sign-Up and/or Product Sign-Up.
